摘要

跨國經(jīng)營是經(jīng)濟(jì)全球化以及企業(yè)發(fā)展到一定歷史階段的產(chǎn)物，是企業(yè)參與國際市場經(jīng)營的高級形式，跨國經(jīng)營是企業(yè)充分利用產(chǎn)品生命周期的需要，是實現(xiàn)國際資源轉(zhuǎn)移的有效手段，也是企業(yè)充分挖掘并綜合利用自身優(yōu)勢的必然結(jié)果。20世紀(jì)60~70年代，跨國公司作為一支不容忽視的力量出現(xiàn)在國際政治經(jīng)濟(jì)舞臺上，其治理結(jié)構(gòu)不僅代表著最先進(jìn)的方向，也具有其復(fù)雜性——特別是跨國經(jīng)營中母公司及子公司的治理結(jié)構(gòu)。同時，今天在經(jīng)濟(jì)全球化下中國企業(yè)不僅面對的是跨國公司進(jìn)入中國市場的競爭，也存在走出去跨國經(jīng)營的情況，這時世界各國的跨國公司的治理機(jī)制無疑是很好的借鑒。

Multinationaloperationisanoutcomeofeconomyglobalizationandenterprisesdevelopinginacertainhistorystage.It’stheadvancedmodewhenenterprisesparticipateinternationalmarketoperation.Multinationaloperationistherequirementforenterprisestoexploitlifeofproductssufficiently,theeffectivemeanstotransferinternationalresource,andtheinfallibleresultforenterprisestothoroughlyunearthandutilizeownadvantages.WhentheMNCsasacan’tbeneglectfulpowerappearsontheinternationalpolityandeconomyarenain60-70years20century,itscorporategovernancenotonlyrepresentsthemostadvanceddirectionbutalsohasitscomplexity—especiallythecorporategovernanceoftheparentcompanyandsubsidiarycompanyinmultinationaloperation.Atthesametime,thechineseenterprisesnotonlyfacethecompetitionoftheMNCsinChinesemarketundertheeconomicglobalization,butalsohavetogoouttomultinationaloperate,here,thecorporategovernanceintheworldmustbegooduseforreference.
